What are we all about?
The OZ CapItal Gains LP is an IRS-qualified Opportunity Fund. This site provides information on how to reduce and/or eliminate capital gains taxes. If you have or recently had stocks, bonds, qualified real estate, art or other assets that have appreciated and you want to sell but keep the amount that has appreciated as an investment for at least ten years, request information about the tax-free OZ Capital Gains LP.
There are two tax benefits:
Tax Deferred
The capital gains taxes normally paid in this year’s return is deferred and discounted.
Tax Liability
OZ Capital Gains LP is structured so that there are no federal taxes on capital gains if it is sold after ten years.
Your Investment
The General Partner of the OZ Capital Gains LP has relevant risk management experience and will manage the portfolio to protect your investment and maximize its appreciation.
Opportunity Zones
Opportunity Zones (or “OZ”) were added to the tax code by the Tax Cuts and Jobs Act of December 22, 2017. It is found in Section 1400Z-2. This provision of the Tax Cuts and Jobs Act was made into law in order to encourage investment and create jobs in distressed communities. In return for the investment in an OZ Fund, the investor receives significant reductions in capital gains taxes.
The Governor of each state has designated Opportunity Zones, at an amount that generally does not exceed 25% of all census tracts that qualify.
A census tract qualifies as an Opportunity Zone if the tract has a poverty rate of 20% or a median family income up to 80% of the area median.
5% of each state’s Opportunity Zone census tracts may be non-qualifying tracts contiguous with qualifying tracts if the median income in those tracts is less than 125% of area median.
OZ Funds are corporations or partnerships that invest in businesses, business equipment and real estate located in designated Opportunity Zones for at least ten years.

Management
The General Partner (GP) is responsible for the day to day management of the OZ Capital Gains LP.

Acquire
The GP will acquire properties that have the most potential for appreciation after improvements. The properties must be located in state-designated IRS-certified OZ census tracks.

Maintain
The GP will maintain the properties to maximize value and capital gains when sold.

Operate
The GP will operate the partnership to comply with the law governing OZ Funds.
The Partnership obtains its funds for investment from limited partners (“investors”) who deposit either the whole or part of a taxable capital gain the limited partner achieved during a 180-day period prior to making the deposit into the OZ Capital Gains LP.
Use of Funds: Investment funds are deposited into an account that is FDIC insured or rated investment grade by S&P or Moody’s. The funds are withdrawn from these accounts by the General Partner to:
- Make equity investments on carefully selected real estate properties, projects and companies located in qualified Opportunity Zones.
- Substantially rehabilitate or make other improvements to acquired real estate at an amount equaling no less than the amount required by the IRS for OZ Funds.

GENERAL PARTNER
The General Partner (GP) is OZ Manager LLC. It is responsible for acquisitions and the day to day management of the Partnership. The Managing Members of OZ Manager LLC are Karen Robbins and Charles Balter.
Charles Balter has thirty-five years of experience as the owner of Balter Development Company which developed single family tract housing and served as general contractor for a multitude of new construction and gut rehabilitation of both residential and commercial projects.
Karen Robbins has 21-years of experience in risk management and credit underwriting of real estate investments located in lower income neighborhoods. This experience includes analytical and executive positions at Ambac, Bond Investors Guarantee (BIG), Donaldson, Lufkin and Jenrette (DLJ), Standard & Poor’s (S&P).
Karen also established the low-income housing tax credit yield guarantee program at Ambac and has 12 years of experience in real estate development and property management of properties located in low income neighborhoods and areas of revitalization.
Tax Benefits
OZ Fund investors receive significant reductions in the capital gains taxes they would have achieved from capital gains received no later than 180 days prior to investing in the fund. If the reinvestment is held in the Fund for 5 to 6 years, 10% of the tax on the original capital gain is canceled. If the reinvestment is held in the Fund for 7 or more years, 15% of the original capital gain is cancelled. The deferred gain must be recognized on the earlier of the date the fund is disposed of or 12/31/26.
The OZ Fund (or OZ Capital Gains LP) is not taxed on capital gains achieved from its investments, as long as the investments are held for at least a ten-year period and 90% of the investment is made on qualified assets located in Opportunity Zones.
